1. Company Information
These Terms and Conditions ("Terms") govern the use of services provided by TWAI Systems, operated by Tim Westermann, registered as a freelancer in Germany, Schleswig-Holstein (“the Company”, “we”, “us”, or “our”).

2. Scope of Services
TWAI Systems develops and provides artificial intelligence systems that automate customer service processes for software companies.
Our services include:
Development and deployment of AI-based customer support systems;
Integration across communication channels (e.g., web chat, phone, email);
Maintenance and hosting of the systems for the agreed duration.
Consulting services are not included unless explicitly stated in writing.
3. Agreement and Acceptance
By purchasing or using any of our services, you (“the Client”, “you”) agree to these Terms in full. These Terms constitute a legally binding agreement between TWAI Systems and the Client.
4. Payment Terms
All payments are due as specified in the issued invoice or written agreement.
Unless otherwise agreed, the Client pays a one-time fee covering 12 months of service.
In specific cases, quarterly or monthly payment plans may be agreed upon in writing.
Access to or continuation of the service may be suspended in case of non-payment.
All fees are non-refundable once the service has been initiated, except where required by law.
5. Service Duration and Renewal
Each service agreement is valid for 12 months from the date of activation unless otherwise stated. Renewal for an additional term requires mutual agreement before expiration.
6. Intellectual Property
All software, code, and system designs developed by TWAI Systems remain the intellectual property of the Company unless explicitly transferred in writing.
Clients receive a non-exclusive, non-transferable license to use the system for the agreed period and purpose.
7. Client Responsibilities
The Client is responsible for:
Providing all necessary access, data, and cooperation required for system setup;
Using the system in compliance with applicable laws, including data protection regulations (GDPR if applicable);
Ensuring that no unlawful, harmful, or infringing content is transmitted through the system.
8. Data Protection and Privacy
TWAI Systems complies with the EU General Data Protection Regulation (GDPR).
Client data will be processed solely for the purpose of service delivery and system maintenance. More details can be found in our Privacy Policy.
9. Limitation of Liability
To the fullest extent permitted by law:
TWAI Systems shall not be liable for any indirect, incidental, or consequential damages, including lost profits, loss of data, or business interruption.
Our total liability for any claim related to our services shall not exceed the amount paid by the Client for the 12-month term in which the issue occurred.
We do not guarantee that our systems will be uninterrupted or error-free but commit to maintaining reasonable service reliability.
10. Termination
Either party may terminate the agreement with written notice if the other party materially breaches these Terms and fails to remedy such breach within 14 days after written notice.
Upon termination, the Client’s access to hosted systems will be revoked.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany.
The exclusive place of jurisdiction for all disputes arising out of or in connection with this Agreement is Schleswig-Holstein, Germany, unless otherwise required by mandatory law.
12. Changes to These Terms
TWAI Systems reserves the right to modify or update these Terms at any time. Updates will be posted on our website and take effect immediately upon publication.
